Banks, foreign counterparties, and government bodies often ask for a Certificate of Incumbency before they will deal with a company representative — it confirms, in a sworn document, exactly who holds which position within the corporation at the time it is signed.

An authorized signing officer of the company joins the video appointment with the certificate prepared but unsigned. The commissioner verifies their photo ID, witnesses the signature, and applies the seal.

Notarized in accordance with O. Reg. 431/20. We do not verify the accuracy of the corporate information listed on the certificate itself — that responsibility rests with the company and its officers.
